Definitions of the Terms of Service

These General Terms of Service ("Terms") govern your access to and use of various mobile applications ("Apps") advertised and facilitated through GreatApps LLC's websites and platforms ("Platforms"), collectively, the “Services”. The Apps are available via various distribution channels, including but not limited to our website, WWW.GREATAPPS.CO. These Terms also cover services such as delivery of information via the Apps and Platforms, emails, and other means of communication provided by GreatApps LLC.

GreatApps LLC, a Delaware corporation, with its seat and registered office at 1460 Broadway, WeWork, New York, NY 10036, is the provider of access to the Apps and to the Platforms where these Apps are advertised. The Apps themselves are owned by third parties ("App Owners") and may have their own set of terms and conditions.

"GreatApps LLC," "we," "us," or "our" refers to GreatApps LLC, the provider of the Platforms and access to the Apps.

"User," "you," or "your" refers to you, as a user of the Platforms or any of the Apps facilitated by GreatApps LLC. A user is someone who accesses or uses the Apps and the Platforms for various purposes such as discovering, downloading, sharing, or reviewing Apps, and includes other persons jointly participating in using the Platforms or the Apps.

"Services" include all services GreatApps LLC may offer to you through the Platforms, including but not limited to the advertising, facilitating, and provision of access to the Apps.

"Content" will include, but is not limited to, images, photos, audio, video, location data, 'nearby places,' and all other forms of information or data.

"Your Content" or "User Content" refers to the content you submit as a user of the Apps or the Platforms. This includes but is not limited to, what you upload, share, or transmit to, through, or in connection with the Apps and the Platforms, such as likes, ratings, reviews, images, photos, messages, and any other materials that you publicly display or submit through the Apps and the Platforms.

"GreatApps Content" means content that GreatApps LLC creates and makes available in connection with the Apps and the Platforms , including, but not limited to, visual interfaces, interactive features, graphics, design, computer code, products, software, aggregate user ratings, reports, and other usage-related data concerning activities associated with the Platforms, excluding Your Content and Third-Party Content.

"Third-Party Content" means content that originates from parties other than GreatApps LLC or its users, including but not limited to the App Owners, and is available on or through the Platforms or the Apps facilitated by GreatApps LLC.

Acceptance of the Terms of Service

By accessing or using the Apps and the Platforms, including but not limited to mobile apps, emails, or any services provided by GreatApps LLC, you are agreeing to these Terms and concluding a legally binding contract with GreatApps LLC, a company incorporated and existing under the laws of the State of Delaware, in which it is registered ("GreatApps LLC"). Do not access or use the Apps and the Platforms, emails, or any services provided, if you are unwilling or unable to be bound by the Terms.

You can accept the Terms by:

Clicking to accept or agree to the Terms, where this option is made available to you in the user interface of the Apps and the Platforms or any communication medium used by GreatApps LLC; or
Using the Services, the Apps and the Platforms. In this case, you understand and agree that GreatApps LLC will treat your use of the Services as acceptance of the Terms.

Clicking to accept or agree to the Terms, where this option is made available to you in the user interface of the Apps and the Platforms or any communication medium used by GreatApps LLC; or
Using the Services, the Apps and the Platforms. In this case, you understand and agree that GreatApps LLC will treat your use of the Services as acceptance of the Terms.

Changes to the Terms of Service

GreatApps LLC reserves the right to amend, change, or update these Terms of Service at its sole discretion, at any time. You are responsible for periodically reviewing these Terms to ensure your ongoing compliance. Your continued use of the Apps and the Platforms and Services following any amendments or changes to the Terms will constitute your express acceptance of such revised Terms and your agreement to be bound by them.

User Responsibilities

Eligibility to Use the Apps Advertised

You represent and warrant that you are at least sixteen (16) years of age or older and possess the legal capacity to agree to these Terms. Users who are minors (typically under the age of 18, but the age may vary depending on the jurisdiction) must obtain the consent of a parent or guardian to use the Apps, or the Platforms to access and discover Apps. Such minors may use the Apps for the purposes of browsing and discovery but may not make any purchases through GreatApps LLC. Parents or guardians giving their consent for minors to use the Apps and the Platforms must read and agree to these Terms on behalf of the minor.

If you are a parent or guardian permitting a minor to use the Apps, you agree to:

Supervise the minor's use of the Apps and their account.
Assume all risks associated with the minor’s use of the Apps and their account, including the transmission of content or information to and from third parties via the Internet.
Ensure that the content and information that the minor may encounter on our Platforms and the Apps are suitable for the minor.
Assume liabilities resulting from the minor’s use of the Apps and their account.
Ensure the accuracy and truthfulness of all information submitted by the minor.
Provide the consent contained in these Terms on behalf of the minor

Should you become aware of any unauthorized use of your email or any other breach of security, you agree to notify us promptly.

The personal information you provide is intended solely for your individual use in accessing the features and offers related to Partner Apps. You may not impersonate another person or provide information on behalf of someone else without their explicit consent.

If you use a pseudonym or alias, please note that certain activities may still make you identifiable to others, especially if you provide additional identifying information use the same email or alias across multiple platforms, or allow other platforms to share information about you with us. By opting to provide your personal information, you consent to receive communications from us, which may include promotional materials, updates, or other information related to Partner Apps or associated websites.

User Conduct and Prohibited Activities

In utilizing the Apps and the Platforms provided by GreatApps LLC, you agree not to engage in activities that, at our sole discretion, are deemed inappropriate or harmful. Specifically, you agree not to:

Violate any third party’s rights, including but not limited to copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.
Violate these Terms.
Violate any applicable laws or regulations.
Threaten, harm, harass, or promote discrimination against others.
Use the platform for any commercial purposes, such as promoting a business venture or event.
Engage in keyword spamming or manipulate search results related to Partner Apps.
Solicit personal information from minors or distribute or transmit pornography.

Violate any third party’s rights, including but not limited to copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.
Violate these Terms.
Violate any applicable laws or regulations.
Threaten, harm, harass, or promote discrimination against others.
Use the platform for any commercial purposes, such as promoting a business venture or event.
Engage in keyword spamming or manipulate search results related to Partner Apps.
Solicit personal information from minors or distribute or transmit pornography.

Furthermore, you are prohibited from:

Modifying, adapting, appropriating, reproducing, distributing, translating, creating derivative works from, publicly displaying, selling, trading, or otherwise exploiting the Apps and the Platforms or its content.
Using any automated systems, including but not limited to robots, spiders, or site search/retrieval applications on the Apps and the Platforms.
Attempting to reverse engineer any component of the Apps and the Platforms.
Removing or altering any intellectual property rights notice on any part of the Apps and the
Platforms or on any materials printed or copied from the Apps and the Platforms.
Harvesting, recording, or mining information about other users.
Attempting to gain unauthorized access to the Apps and the Platforms, its systems, or networks through hacking, password mining, or any other means.
Transmitting any viruses, worms, Trojan horses, or any items of a destructive nature ("Viruses"). Should a specific action not be listed in this clause but clearly violate the spirit of responsible usage as laid out in these Terms, GreatApps LLC reserves the right to interpret such actions as falling under these prohibitions.

Furthermore, you are prohibited from:

By accessing or using the Apps and the Platforms, you agree to operate within the confines of these Terms as well as applicable laws and regulations, without infringing upon the legal rights of GreatApps LLC or any third party. Failure to comply with these Terms or any applicable law may result in suspension or termination of your access to the Services, either with or without notice, at the sole discretion of GreatApps LLC.

Services Provided

Limitations and Availability of the Services

GreatApps LLC does not guarantee the uninterrupted or error-free operation of the Platforms, Partner Apps, or associated websites. These may be modified, updated, interrupted, suspended, or discontinued at any time, without prior notice or liability on the part of GreatApps LLC.

Furthermore, GreatApps LLC makes no representations or warranties regarding the availability, appropriateness, or legal status of the Apps and the Platforms in your jurisdiction. It is your responsibility to determine whether your use of our Services is compliant with local laws and regulations. Access and use of the Services are strictly prohibited in jurisdictions where such activities would be considered illegal. If you choose to access the Services, you do so on your own initiative and are solely responsible for compliance with applicable local laws.

Third-Party Services and Content

GreatApps LLC's platform may feature links to external websites ("Third-Party Websites") or include or offer access to articles, photographs, text, graphics, designs, music, sound, video, information, applications, software, and other materials that are the property of or originated from third parties ("Third-Party Content"). GreatApps LLC does not vet, monitor, or verify the accuracy, appropriateness, safety, or completeness of any Third-Party Websites or Third-Party Content. We are not liable for any issues that may arise from your access to or use of Third-Party Websites or Third-Party Content available through our Services.

By using our Services, you acknowledge and agree that GreatApps LLC is not responsible for the availability or quality of such Third-Party Websites or Third-Party Content. Any interactions with Third-Party Websites or utilization of Third-Party Content are solely at your own risk and discretion.

Advertising and Promotional Content in Partner Apps

GreatApps LLC's Platforms and our Partner Apps may display advertisements and promotional materials as a source of revenue. These advertisements may be submitted by third parties and may appear throughout the Platforms, associated websites, and Partner Apps. The party submitting such advertising or promotional material is solely responsible for ensuring that the submitted material complies with all applicable international and national laws.

Any interactions, correspondence, or business dealings you have with advertisers found on or through the Platforms or the Apps Apps are solely between you and the advertiser. This includes, but is not limited to, payment and delivery of goods or services, and any other terms, conditions, warranties, or representations associated with such dealings. GreatApps LLC assumes no responsibility or liability for any errors, omissions, or inaccuracies in the advertising material, nor for any loss or damage of any sort incurred as a result of your interactions with advertisers present on our platform or within Partner Apps.

Privacy and Data Collection

Collection and Use of Personal Information

To facilitate the use of GreatApps LLC's platform and associated services, we may collect specific personal information from you. This information may include your gender, age, current weight, height, target weight, body type, and food preferences. Additionally, we may automatically gather data such as your device's language settings, IP address, time zone, device type and model, device settings, operating system, Internet service provider, mobile carrier, hardware ID, and other unique identifiers like IDFA and AAID.

We collect this information for the primary purposes of providing our services, analyzing usage patterns, and delivering targeted advertising. For these purposes, we may share your information with third-party service providers, including but not limited to, Facebook, Google, Apple, AppsFlyer, Crashlytics, Leanplum, Amplitude, Firebase, and Snapchat. The data sharing allows us to perform various analyses, such as user interactions and demographics and enables us to serve tailored advertisements, including targeting specific user groups like subscribers.

By using our Services, you explicitly agree to the collection, use, and sharing of your personal information as described in these Terms of Service and our Privacy Policy. Intellectual Property

Ownership of Content and Intellectual Property

As between you and GreatApps LLC, you retain ownership of any content you submit or provide ("User Content"). GreatApps LLC does not claim ownership of User Content. However, GreatApps LLC does own its own proprietary content including, but not limited to, text, graphics, design elements, visual interfaces, interactive features, and code ("GreatApps LLC Content"), as well as the trademarks, service marks, and trade names associated with the GreatApps LLC Content and the services (collectively, "Intellectual Property"). You may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display, or exploit any of the GreatApps LLC Content or Intellectual Property, in whole or in part, except as expressly authorized by us.

Notice for Claims of Intellectual Property Violations If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you may notify us by providing the following information:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
A description of the copyrighted work or other intellectual property that you claim has been infringed;
A description of where the material that you claim is infringing is located;

You affirm that you are competent and authorized to publish the User Content. Your User Content should not imply that it is sponsored, endorsed, or otherwise affiliated with GreatApps LLC.

You may expose yourself to liability if your User Content, among other things:

Contains false or intentionally misleading information;
Is defamatory or violates any third-party right, including copyrights, trademarks, or other intellectual property rights;
Includes material that is unlawful, such as hate speech or explicit content;
Harms minors;

License to GreatApps LLC

By submitting your User Content, you grant GreatApps LLC a perpetual, irrevocable, non-exclusive, royalty-free license to use, display, perform, distribute, modify, and create derivative works based on your User Content. This license includes the right to sublicense these rights and to publish your User Content in any media format through any media channels, for the purpose of promoting and redistributing part or all of the services, including derivative works.
Definition of "Use"

For purposes of these Terms, "use" means to use, reproduce, modify, display, publish, distribute, translate, reformat, incorporate into advertisements and other works, promote, and create derivative works. Waiver of Moral Rights

You also grant GreatApps LLC the right to use the name or username that you submit in connection with your User Content. You irrevocably waive any claims and assertions of moral rights or attribution concerning your User Content against GreatApps LLC, its licensees, and its users.

User Feedback, Suggestions, and Improvements

By submitting any ideas, suggestions, documents, or proposals ("Feedback") to GreatApps LLC, you acknowledge and agree to the following terms:

No Confidential Information: You affirm that your Feedback does not include confidential or proprietary information from third parties.
No Obligation of Confidentiality: GreatApps LLC is not obligated, either expressly or implicitly, to maintain confidentiality regarding the submitted Feedback.
Existing Development: You acknowledge that GreatApps LLC may already be considering or developing features, products, or services similar to those described in your Feedback.

Payment and Subscription

Subscription Terms, Fees, and Payment

General Payment Terms

Access to certain features of the Apps and the Platforms requires payment of fees ("Fees"). You have the option to subscribe for access to specific services or make a one-time payment ("Purchase"). The Fees may differ depending on your usage and will align with our prevailing pricing policy. A Free Trial Period may be available for new users, following which access to paid features will require a subscription.

Payment Methods

Payment for the Services can be made through various approved methods, including, but not limited to, Credit Card, Apple Pay, and PayPal. Payment Authorization and Security If your payment issuer refuses authorization, you will be notified that the transaction has failed. Payment security is maintained using Secure Socket Layer (SSL) technology or equivalent secure measures.

Currency

Payments can be made in your local currency or as determined by your settings in your chosen payment platform. You authorize us to charge your payment method on a regular interval, as agreed upon at the beginning of your subscription. If payment is not received, your subscription will be disabled until payment is processed.

Free Trial Subscriptions

We may offer free trials for a limited time. Unless you cancel before the trial ends, you will be charged the standard rate thereafter. You are responsible for knowing when your free trial period ends. We reserve the right to change or terminate free trials at our sole discretion.

Auto-Renewal

By choosing certain subscriptions, you agree to automatic renewals. Failure to cancel your subscription means you authorize us to charge you for the renewal term.

Product Name Variations

The receipt may refer to the services by multiple names for internal tracking purposes.

Discounts and Fee Changes

You are responsible for staying informed about any changes to the Fees. Fees may change at our discretion. We aim to provide reasonable notice before implementing significant changes to the Fees. By proceeding with a subscription or payment, you agree to these Terms. If you need further clarification, consult a qualified legal advisor.

Recurring Billing and Payment Terms

Unsuccessful Charges

In instances where your subscription payment is overdue, GreatApps LLC retains the right to attempt to charge your designated payment method until the payment is successfully processed. The frequency of such attempts can vary within a calendar month.

Escalating Charges

Upon repeated failure to successfully charge according to your payment schedule ("Fee Schedule"), the amount to be charged may escalate. Specifically, it will consist of the overdue amount from the previous billing cycle in addition to the current cycle's fee. At this juncture, a discretionary discount mechanism may be activated; GreatApps LLC reserves the right to apply any discount rate to the subscription fee being charged.

Subsequent Unsuccessful Charges

In the event of a third unsuccessful charge attempt as per your Fee Schedule, the overdue amounts from previous periods and the current fee will be combined. Once again, the discretionary discount system may be activated. Return to Standard Billing

Once a successful charge is made at any point, even if at a discounted rate, your subsequent subscription cycle will return to the standard full rate as per your original agreement.

GreatApps LLC reserves the right to recover overdue amounts for any unpaid subscriptions.
No additional fees will be levied by GreatApps LLC for unpaid subscriptions.
You may be eligible for a discretionary discount on future payment cycles if you have previously failed to fulfill the complete subscription payment.

Refunds and Cancellations

Subscription Renewal

Your subscription will automatically renew at the end of each billing cycle unless canceled. Please note that uninstalling the app will not cancel your subscription.

Cancellation Process

Due to our specific terms, subscriptions cannot be canceled through the App Store. You can cancel your subscription at any time following the account management instructions found on your original receipt. If you have concerns or questions about canceling your subscription or accessing the app, please contact our support team at support@greatapps.co

Refunds

For subscriptions purchased through other acceptable forms of payment, you will be governed by GreatApps LLC's Refund Policy. The Refund Policy is an integral part of these Terms.

Consumer Rights in the European Union

If you reside in the European Union, you may have certain rights to withdraw from online purchases. However, by purchasing a subscription, you acknowledge and agree that the services begin immediately once your purchase is completed, thereby forfeiting your right to withdrawal at that point. You understand and agree that the services provided by GreatApps LLC, accessible via the Apps and the Platforms are offered "as is" and "as available." Governing Law and Jurisdiction

This Agreement, along with any associated rights and obligations, shall be governed by and construed in accordance with the laws of the State of Delaware. Parties agree that any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located within the State of Delaware. By using our services, you acknowledge and agree to the governing law and jurisdiction clauses stated herein.

Dispute Resolution and Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS AND HOW DISPUTES BETWEEN YOU AND GREATAPPS LLC WILL BE RESOLVED. This section constitutes a written agreement for arbitration and governs the resolution of disputes between you and GreatApps LLC ("the Company"). It is intended to comply with the "writing" requirement of the Federal Arbitration Act ("FAA"). This provision can only be amended by mutual written agreement between the parties. Arbitration as Exclusive Remedy

We encourage the use of arbitration, which is typically faster, less formal, and less expensive than litigation. If you have a dispute relating to: (i) your use of or interaction with our Services; (ii) transactions or relationships with the Company, or (iii) data or information you provide to us or that we gather (collectively, “Service Transactions”), you agree to resolve the dispute exclusively through binding arbitration, waiving the right for these claims to be brought to court, including any right to a jury trial, or to participate in class action lawsuits.

Process and Rules

If informal dispute resolution fails, disputes shall be resolved by arbitration administered by an arbitration entity of our choice. The arbitrator will have exclusive authority to resolve any dispute including, but not limited to, the validity, interpretation, and enforceability of this Agreement.

Additional Terms

(a) Arbitrator's Authority: The arbitrator has exclusive authority to interpret this Agreement, including but not limited to its validity and enforceability.

(b) Location: Arbitration shall take place at a location decided by the Company but within 100 miles of your residence unless mutually agreed otherwise.

(c) Applicable Law: The Arbitrator shall apply the internal laws of the State of Delaware, except where federal law applies.

(d) Individual Claims: The Arbitrator may resolve only your and the Company’s individual claims and will not have the authority to arbitrate claims on a class or collective basis.

(e) Arbitration Costs: If you demonstrate that arbitration is cost-prohibitive compared to litigation, the Company will cover necessary filing and hearing fees to keep the process accessible, unless the arbitrator finds your claims to be frivolous or in bad faith.

(f) Attorney's Fees: If you are awarded an amount higher than the Company’s last written settlement offer, you may also be entitled to reimbursement for reasonable attorney’s fees.

(g) Enforceability: If any part of this provision is deemed invalid or unenforceable, the remainder will still be enforced, except that if the "Individual Claims" provision is found to be invalid, then this entire section will be null and void.

(h) Modifications: The Company reserves the right to modify this provision, effective 30 days after written notice, and such changes will apply only to disputes arising after the effective date.

(i) Small Claims Exclusion: You may opt to pursue your claim in a small claims court if it falls within that court’s jurisdiction and proceeds on an individual basis.

By using or interacting with the Services, or engaging in any Service Transactions with the Company, you acknowledge and agree to this dispute resolution and arbitration agreement.

Termination

Termination by the User

You may terminate this Agreement at any time by notifying GreatApps LLC of your intention to do so. Please note that because GreatApps LLC does not control Partner Apps available on third-party platforms like app stores, termination of this Agreement does not automatically terminate any subscriptions you may have with Partner Apps. To terminate your agreement with GreatApps LLC, you must provide written notice via email to support@greatapps.co.

Upon receiving your termination notice, we will proceed with the cancellation of your GreatApps LLC subscription. It is your responsibility to ensure that you have followed the termination process correctly. GreatApps LLC is not liable for any charges you may incur due to incorrect or incomplete termination requests, nor are we responsible for any consequences arising from your failure to terminate the Agreement appropriately.

By terminating this Agreement, you forfeit the right to access any services provided by GreatApps LLC, and we are under no obligation to store or maintain any data, information, or other content you may have posted or uploaded on our platform.

For clarity, terminating this Agreement with GreatApps LLC does not absolve you of any ongoing obligations you may have with any Partner Apps or third-party services accessed through GreatApps LLC. By using or subscribing to the Apps and the Platforms, you acknowledge and agree to these termination procedures.

Termination by GreatApps LLC

GreatApps LLC reserves the right to terminate your subscription, limit your access to certain features of our services, or prohibit you from using our services entirely, at our sole discretion. This may be done for any reason or no reason at all and may occur without prior notice to you. Please note that because GreatApps LLC does not maintain user accounts, we may coordinate with third-party platforms and Partner Apps to effectuate the termination of your subscription.

Such termination actions may result in the loss of access to services provided by GreatApps LLC, as well as any content, data, or information related to or accessed through the Apps and the Platforms. GreatApps LLC is not liable for any consequences, losses, or damages arising out of such terminations, nor are we obligated to provide any refunds or reimbursements. By using or subscribing to our services, you acknowledge and agree to these termination conditions.

Miscellaneous

Entire Agreement for GreatApps LLC

GreatApps LLC retains the right to modify, suspend, or discontinue our services, including any apps or websites associated with GreatApps LLC, at any time, for any reason or no reason, without notice or liability to you. We may deliver notices to you, including those pertaining to modifications to these Terms, via email or through the Apps and the Platforms.

Except as specifically outlined in Section 10 herein, nothing in these Terms is intended to or shall confer any rights or remedies upon any third parties.

These Terms constitute the full and exclusive agreement between you and GreatApps LLC concerning your use of our services, including but not limited to the Apps and the Platforms. Should any provision of these Terms be found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

The titles of the sections in these Terms are included solely for convenience and carry no legal or contractual obligations.

Severability for GreatApps LLC

Should any provision of these Terms be deemed unlawful, void, or for any reason unenforceable, that specific provision shall be severed from the remaining Terms. The severance of any such provision will not affect the validity or enforceability of the remaining provisions herein.
